JIK, LLC. provides computer systems design and integration services, including but not limited to:

• Cloud architecture design, migration planning, and implementation across public cloud, private cloud, and hybrid environments.
• Infrastructure engineering covering compute, storage, networking, and data center operations.
• Cybersecurity advisory, risk assessment, compliance program development, and managed security services.
• DevOps consulting, platform engineering, CI/CD pipeline design, and automation implementation.
• Managed information technology operations, monitoring, and incident response.
• Technology strategy, vendor evaluation, and architecture review board participation.

The specific scope, deliverables, timeline, and fees for any engagement shall be defined in a separate Statement of Work, Service Agreement, or Master Services Agreement executed by both parties. In the event of any conflict between these Terms and an executed service agreement, the terms of the executed agreement shall control.

3. Website Use and Acceptable Conduct

You agree to use the JIK, LLC. website and any associated communication channels only for lawful purposes and in accordance with these Terms. You further agree not to:

• Use the website in any way that violates applicable federal, state, local, or international law or regulation.
• Transmit, or procure the sending of, any unsolicited advertising or promotional material, including spam, chain letters, or pyramid schemes.

Subject to your compliance with these Terms, JIK, LLC. grants you a limited, non-exclusive, non-transferable, revocable license to access and view the website content solely for your personal, non-commercial use or for the purpose of evaluating and engaging our professional services. For client-specific work product — including architecture diagrams, configuration scripts, deployment templates, custom software, and technical documentation developed during a paid engagement — ownership and license terms shall be set forth in the applicable service agreement. Unless otherwise agreed in writing, JIK, LLC. retains ownership of all pre-existing materials, tools, frameworks, methodologies, and know-how used in the delivery of services.

5. Confidentiality

In the course of a client engagement, JIK, LLC. may receive or be exposed to confidential, proprietary, or trade secret information belonging to the client. JIK, LLC. agrees to hold all such information in strict confidence, to use it solely for the purpose of delivering the contracted services, and to protect it using measures at least as rigorous as those applied to its own confidential information of a similar nature.

Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is independently developed by the receiving party without use of or reference to the disclosing party's confidential information; or (d) is rightfully obtained by the receiving party from a third party without a duty of confidentiality.

JIK, LLC.'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO JIK, LLC. DURING THE TWELVE-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00). THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

9. Indemnification

You agree to defend, indemnify, and hold harmless JIK, LLC., its members, managers, officers, employees, agents, contractors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses — including reasonable attorneys' fees — arising from or related to: (a) your use of and access to the website; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right; or (d) your violation of any applicable law, rule, or regulation. JIK, LLC. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with JIK, LLC. in asserting any available defenses.

10. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Any controversy, claim, or dispute arising out of or relating to these Terms, or the breach thereof, shall first be attempted to be resolved through good-faith informal negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty calendar days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration to take place in Polk County, Florida.

Notwithstanding the foregoing, JIK, LLC. retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property or confidential information. For any claims not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of and venue in the state and federal courts located in Polk County, Florida.

11. Service-Specific Terms

Engagements for professional services are governed by separate written agreements executed by authorized representatives of both parties. These agreements address the specific scope of work, schedule, fees and payment terms, acceptance criteria, change order procedures, warranties, limitation of liability, insurance requirements, termination rights, and other commercial and legal terms applicable to the engagement.

Nothing in these Terms creates an exclusive relationship, partnership, joint venture, or employment relationship between you and JIK, LLC. Each party is an independent contractor. Neither party has the authority to bind the other or incur obligations on the other party's behalf without prior written consent.

12. Termination

JIK, LLC. may terminate or suspend your access to the website immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Provisions that by their nature should survive termination — including but not limited to intellectual property rights, confidentiality obligations, disclaimers of warranty, limitations of liability, indemnification, and governing law — shall survive any termination of these Terms.

13. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to reflect the parties' original intent to the fullest extent permitted by law, and the remaining provisions shall continue in full force and effect. The failure of JIK, LLC. to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

14. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements or statements of work, constitute the entire agreement between you and JIK, LLC. regarding your use of the website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties — both written and oral — regarding the subject matter hereof.
